This Seller Agreement ("Agreement") is made between VYAPIT ("VYAPIT Market") and the registered vendor or seller ("Seller"). By registering and using the VYAPIT platform, the Seller agrees to the following terms and conditions.
Nature of business: Seller / Vendor Agreement date: Date of registration
1. Registration and acceptance. The Seller must register on the VYAPIT platform by providing accurate and complete information. By registering, the Seller agrees to comply with this Agreement and VYAPIT’s policies.
2. Products and listings. The Seller is responsible for listing products accurately, including descriptions, pricing, images, stock, variants, and availability. All products must comply with applicable laws. VYAPIT may review, approve, or reject any product listing. Illegal or otherwise prohibited products may not be listed or sold.
3. Order fulfilment. The Seller is responsible for timely order fulfilment. Packaging and shipping must follow VYAPIT’s standards, and tracking details must be provided for each shipment.
4. Payments and fees. Seller: 70% ± applicable GST. VYAPIT: 30% + applicable service tax or charges. The Seller is responsible for delivery charges. Payments will be processed according to the agreed schedule. The Seller is responsible for applicable listing or transaction fees, and payments may be withheld while disputes are being reviewed.
5. Returns and refunds. The Seller agrees to accept customer returns within the return period applicable to the product and VYAPIT policy. Damaged, expired, or incorrect products must be replaced within 24 hours of receiving a complaint. The Seller must verify the product condition and confirm acceptance of a return before a refund or replacement is initiated. The Seller bears reverse-logistics costs for seller-related errors, including wrong or damaged items. Delivery and return periods may vary according to the nature of the goods and the applicable VYAPIT policy.
6. Intellectual property. The Seller grants VYAPIT a non-exclusive, royalty-free licence to use, display, and promote the Seller’s shop, product information, images, and related content on the VYAPIT platform. The Seller warrants that it has the right to sell listed products and that they do not infringe third-party intellectual-property rights.
7. Confidentiality. The Seller agrees to keep confidential any non-public information obtained through the VYAPIT platform. This obligation continues after termination of this Agreement.
8. Term and termination. This Agreement remains in force until either party terminates it in writing. VYAPIT may terminate or suspend the Seller account or listings at any time, with or without cause, subject to applicable law and VYAPIT procedures.
9. Governing law. This Agreement shall be governed by and construed in accordance with the applicable laws of the relevant jurisdiction. Disputes arising from or related to this Agreement shall be resolved by the competent courts of that jurisdiction.
10. Miscellaneous. This is the entire agreement and supersedes previous versions. Amendments must be made in writing and accepted by both parties. The agreement is effective from the date of registration and electronic acceptance by the Seller.
Acceptance record. The accepted version, timestamp, and Seller details are stored with the vendor record when the registration is submitted.
